Recognizing that it is a social responsibility to appropriately protect the personal information (information that can identify a specific individual) of all stakeholders, including customers, business partners, and employees, our company hereby establishes this Privacy Policy, ensures the proper handling of personal information, and makes every effort to protect it completely.

  1. We comply with laws and regulations concerning the protection of personal information and other social norms.
  2. We provide education and awareness training on personal information protection to officers and employees.
  3. We appropriately acquire, use, and provide personal information. Acquisition is carried out through legal and fair procedures after clarifying the purpose of use. Handling of Personal Information

Purposes of Use, etc.

The personal information provided by you will be used for the following purposes:

  • Fulfilling contractual responsibilities with customers.
  • Development and improvement, sale and provision, installation, after-sales service, repair and maintenance, marketing, and sales promotion of products (including systems and software) and services related to our business.
  • Providing useful information regarding products (including systems and software), services, and activities related to our business objectives.
  • Providing other information related to our business activities.
  • Responding to inquiries.

In addition to the tasks incidental to the above purposes, in order to facilitate our business operations, we may outsource a part of our operations and provide personal information to the outsourcing contractor to the necessary extent. In such cases, we will take appropriate measures, including concluding an agreement regarding the handling of information with these outsourcing contractors, to ensure the protection of personal information.

Disclosure and Provision to Third Parties

Except when providing personal data to an outsourcing contractor or when falling under any of the following, we will not disclose or provide personal data to a third party:

  • When the individual’s consent has been obtained.
  • When disclosure/provision is made in a state where the individual cannot be identified, such as statistical data.
  • When disclosure/provision is requested based on laws and regulations.
  • When necessary for the protection of a person’s life, body, or property, and it is difficult to obtain the individual’s consent.

Disclosure, Correction, Deletion, Suspension of Use, etc.

Regarding the retained personal data of our company, if you have an inquiry about your personal information, or if there is an error or change in your personal information and you request correction, deletion, suspension of use, etc., we will confirm that the requester is the individual concerned to prevent the leakage of your personal information, and will respond to the inquiry, correct, or delete the personal information within a reasonable period and scope. Please note that if a part or all of this information is deleted or its use is suspended, we may regrettably be unable to provide services in line with your requests, and we ask for your understanding and cooperation. Our Business Objectives

The purpose of the company is to operate the following businesses:

  1. Sale (new and used), repair, calibration, maintenance, purchase, and import/export of various measuring instruments, testing equipment, scientific/chemical instruments, environmental analysis equipment, medical devices, and other machinery and tools.
  2. Antique dealing business based on the Antique Dealings Act.
  3. Mail order business.
  4. Planning, production, sale, distribution, operation, and management of websites, web contents, and various other services utilizing the internet.
  5. Sales agency business, sales clerical agency business.
  6. Agency services for the planning, manufacturing, sale, and import/export of various products, as well as local purchasing services.
  7. Various information provision service business, various information collection service business, and various information processing service business.
  8. Planning, development, operation, maintenance, sale, distribution, and management of systems, and the consignment thereof.
  9. Planning, manufacturing, and sale of products under third-party trademarks, private brand products, and various other products.
  10. Rental, leasing, and installment sale of machinery and tools.
  11. All operations incidental or related to the preceding items.

Terms and Conditions of Sale

Article 1 (General Provisions)

These Terms and Conditions shall apply to the Sales Agreement regarding the sale of used goods such as measuring instruments (hereinafter referred to as the “Goods”) by TAKIHARA Co., Ltd. (hereinafter referred to as the “Seller”) to the customer (hereinafter referred to as the “Buyer”) and the purchase thereof by the Buyer, unless otherwise specified by separate contract documents or special agreements.

Article 2 (Delivery, Inspection, and Handover of Goods)

The Seller shall deliver the Goods to the Buyer in their “as-is” condition at the delivery location designated by the Buyer. The delivery location shall, in principle, be within Japan.

  1. The Buyer shall, within seven (7) days after receiving the Goods, perform a functional check and, upon confirmation that there are no issues, deliver a Goods Acceptance Certificate to the Seller.
  2. If the cost of resolving a malfunction during the warranty period exceeds the sales price, the Seller and the Buyer may terminate all or part of the Sales Agreement. In this case, the Buyer shall immediately return the Goods at the Seller’s expense, and if the sales price has already been received, the Seller shall immediately refund the said sales price to the Buyer without interest after confirming the return of the Goods. However, the Buyer shall not be entitled to any claim for damages against the Seller other than this.
  3. The handover of the Goods shall be considered complete when the Buyer signs or seals and delivers the Goods Acceptance Certificate. Furthermore, if the Buyer fails to deliver the Goods Acceptance Certificate to the Seller after seven (7) days have passed since the receipt of the Goods as stipulated in Article 2, Paragraph 1, the handover of the Goods shall be deemed complete, and thereafter, the Buyer shall not be entitled to terminate all or part of the Sales Agreement based on any defect (including latent defects) in the Goods.
Article 3 (Sales Price, etc.)

The Buyer shall pay the Seller the sales price and its various expenses (the total amount of shipping costs, calibration costs, consumable parts costs, and other costs) according to the payment terms specified on the invoice.

Article 4 (Transfer of Ownership)

The ownership of the Goods shall be transferred from the Seller to the Buyer when the Buyer has paid the sales price and all other obligations under the Sales Agreement.

Article 5 (Export of Goods)

The Buyer shall, in principle, use the Goods within Japan.

  1. If the Buyer exports the Goods, the Buyer shall carry out the export as the exporter in compliance with the export-related laws and regulations of Japan and the relevant importing countries. Furthermore, when selling the Goods domestically to a third party, the Buyer shall notify the purchaser of this fact and shall refrain from transactions if there is a risk that the purchaser may illegally export the Goods.
  2. If the Buyer exports the Goods pursuant to the preceding paragraph, Article 11 (Warranty) shall not apply.
Article 6 (Default, etc.)

If any of the following events occurs to the Buyer, the Seller may terminate the Sales Agreement by mere notification without any demand, recall the Goods at the Buyer’s expense, and if the Seller suffers any further damage, the Buyer shall compensate for it:

  1. When the Buyer violates any of the provisions of these Terms and Conditions.
  2. When the Buyer violates any agreement on transactions between the Seller and the Buyer other than these Terms and Conditions.
  3. When a bank transfer is not confirmed within the payment term specified in the payment conditions.
  4. When the Buyer receives a preservation order, compulsory execution, or disposition for non-payment of taxes, or files for bankruptcy, corporate reorganization, special liquidation, civil rehabilitation proceedings, or any other similar proceedings.
  5. When the Buyer suspends or discontinues business, dissolves, or is objectively determined to be facing difficulties in continuing business operations.
Article 7 (Damages)

If the Buyer suffers damage due to a cause attributable to the Seller regarding the Goods provided by the Seller to the Buyer, the Seller shall respond in accordance with the provisions of these Terms and Conditions. However, the Seller shall in no event be liable for indirect damages (loss of business profit, interruption of business, loss of business information, and other damages), and the Seller’s liability for damages shall be limited to the amount already received from the Buyer for the Goods in question.

Article 8 (Limitation of Liability)

Notwithstanding the provision of the preceding article, the Buyer agrees to limit the Seller’s liability as follows:

  1. The Seller shall deliver the Goods in their “as-is” condition and shall bear no warranty liability whatsoever, even if the Goods are non-conforming to the contract in terms of type, quality, or quantity.
  2. The Seller shall not be liable for delay in performance or non-performance of obligations under these Terms and Conditions and individual contracts due to acts of God, war, civil unrest, enactment or abolition of laws and regulations, orders or dispositions by public authority, accidents involving transportation facilities, failure of public communication lines or facilities, or any other cause not attributable to the Seller. In such a case, the Seller may notify the Buyer and change or terminate all or part of the individual contract.
  3. The Seller shall not be liable for any disputes or damages arising from the Goods infringing upon the industrial property rights or other intangible property rights of a third party.
  4. Regarding product recalls from the manufacturer of the Goods after purchase, the Buyer shall, at the Buyer’s responsibility and expense, place themselves in a position to directly obtain recall information from the relevant manufacturer and negotiate directly with the manufacturer, and the Seller shall bear no responsibility whatsoever for such recalls.
Article 9 (Compliance with Laws and Regulations)

When disposing of the Goods, the Buyer shall comply with the Waste Management and Public Cleansing Act and other laws and regulations and shall perform disposal procedures appropriately.

Article 10 (Late Payment Charges)

If the Buyer delays the performance of a monetary obligation under the Sales Agreement, the Buyer shall pay the Seller late payment charges.

Article 11 (Warranty and Limitation of Warranty Scope)

The Seller shall clearly state the warranty period on the quotation for products to which a warranty is attached.

  1. The following matters are **excluded** from the scope of the warranty:
    1. When the Goods are taken out of Japan.
    2. When the Goods are items subject to exemption clauses in the contract, items for which repair support has ended, or items that cannot be repaired due to the bankruptcy, etc., of the manufacturer, vendor, or retailer.
    3. Malfunctions, damage, or loss caused by the Buyer’s incorrect operation, misuse, improper installation or adjustment, modification or alteration, excessive use, movement or transportation after delivery, dropping, liquid spillage, submergence, etc. Malfunctions and damage caused by environmental conditions such as high temperature and humidity, gas damage, vibration, pollution, salt damage, or dust intrusion.
    4. Malfunctions and damage caused by natural disasters such as fire, earthquake, storm, or flood damage.
    5. Malfunctions and damage caused by external factors such as abnormal voltage.
    6. Malfunctions and damage caused by connecting or using hardware, software, interfaces, supplies, etc., not approved by the manufacturer or software supplier.
    7. Support for software and licenses.
    8. Discoloration, scratches, deformation, rust, etc., where there is no functional non-conformity or incompleteness.
    9. Replacement or repair of components such as CRT and LCD display devices.
    10. Replacement or repair of components such as magnetic heads and detectors (sensors, probes, etc.).
    11. Replacement or repair of components such as hard disks and printers, which are recording/printing devices.
    12. Replacement or repair of driving/movable mechanism components such as gears and motors, and wear and tear/consumable components.
    13. Replacement or repair of consumable parts and periodically replaced parts such as toner cartridges, batteries, and uninterruptible power supplies.
    14. All accessories other than the main unit.
    15. Other cases where functional non-conformity or incompleteness (including latent defects) is not attributable to the Seller.
Article 12 (Consumption Tax and Local Consumption Tax)

The Buyer shall pay the Seller the consumption tax and local consumption tax prescribed by the tax law, in addition to the sales price and other expenses under Article 3.

Article 13 (Jurisdiction)

The Seller and the Buyer agree that the Tokyo District Court or the Tokyo Summary Court shall be the court of exclusive jurisdiction in the first instance for any disputes concerning these Terms and Conditions.
